Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and Scrybed LLC ("CastBack", "we", "us", or "our") governing your access to and use of the CastBack website, application, and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

2. The Service

CastBack lets business brokers and M&A intermediaries upload financial documents, which the Service processes through automated extraction and artificial-intelligence systems to produce financial summaries, suggested adjustments, and commentary. Brokers can assemble this content into deal rooms and share it with prospective buyers and other authorized guests. We may add, change, or remove features at any time.

3. Eligibility and Accounts

You must be at least 18 years old to use the Service. You agree to provide accurate information, keep your credentials confidential, and remain responsible for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Guest and Magic-Link Access

Buyers and other guests may receive time-limited, deal-scoped access to a deal room through a one-time magic link. This access is personal to the recipient, is not transferable, expires automatically (by default within seven days), and may be revoked at any time by the broker or by us. Deal-room access is logged. By accessing a deal room, you agree to keep its contents confidential and to use them only to evaluate the specific opportunity for which access was granted.

5. Customer Content and Confidentiality

As between you and us, the broker or firm that uploads or creates content in a deal room owns that content, including financial documents and deal data ("Customer Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Content as needed to operate, secure, and improve the Service.

You represent that you have all rights and permissions necessary to upload Customer Content and to share it with the recipients you authorize. You are responsible for the accuracy of Customer Content and for ensuring its disclosure is lawful. Deal-room contents are confidential to the parties a broker authorizes.

6. Acceptable Use

You agree not to:

• Use the Service in violation of any law or third-party right, or upload content you lack the rights to share.
• Attempt to access deal rooms, files, or data you are not authorized to access, or circumvent any access control, permission check, or rate limit.
• Reverse engineer, decompile, scrape, or build a competing product from the Service, except where such restriction is prohibited by law.
• Upload malware or interfere with the integrity, security, or performance of the Service.
• Misrepresent your identity or your authority to act on behalf of an organization.

7. AI Outputs Are Not Professional Advice

The financial summaries, recast figures, seller's discretionary earnings, valuations, and commentary the Service generates are produced by automated and AI systems and are estimates that may contain errors or omissions. They are provided for informational purposes only and are not financial, accounting, tax, legal, or valuation advice. You are responsible for independently reviewing and verifying all outputs, and for any decisions you make based on them. We are not a broker-dealer, accountant, or appraiser.

8. Intellectual Property

The Service, including its software, design, and content (excluding Customer Content), is owned by Scrybed LLC and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended business purpose. We reserve all rights not expressly granted.

9. Third-Party Services

The Service relies on third-party providers for hosting, storage, analytics, AI processing, and email delivery, and may link to or integrate with other third-party services. We are not responsible for third-party services, and your use of them may be subject to their own terms.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output will be accurate or complete.

11. Limitation of Liability

To the maximum extent permitted by law, Scrybed LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for all claims relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars.

12. Indemnification

You agree to indemnify and hold harmless Scrybed LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Service, or your violation of these Terms or any law or third-party right.

13. Suspension and Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or to protect the Service or its users. You may stop using the Service at any time. Upon termination, your right to use the Service ends, and the sections of these Terms that by their nature should survive will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state and federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
